CNOOC to buy Nexen for $15.1 billion in China's largest foreign deal

HONG KONG/CALGARY | Mon Jul 23, 2012 2:05pm EDT

HONG KONG/CALGARY (Reuters) - State-controlled CNOOC Ltd launched China's richest foreign takeover bid yet on Monday by agreeing to buy Canadian oil producer Nexen Inc for $15.1 billion, forcing Ottawa to decide whether national security concerns outweigh its desire for foreign investment in its energy resources.

CNOOC, China's third-largest oil company, hopes to sell the deal to shareholders and the government by offering a hefty 61 percent premium to Nexen's Friday stock price, pledging to retain all employees and promising to make Canada home base for its Western Hemisphere operations.

CNOOC is offering $27.50 cash a share for Nexen, which has oil sands operations in the Canadian province of Alberta, shale gas in the province of British Columbia and extensive exploration and production holdings in the North Sea, Gulf of Mexico and offshore West Africa.

The move is the most ambitious foray by resource-hungry China into North American energy since a 2005 attempt to buy U.S.-based Unocal for $18.5 billion was thwarted by a political backlash there.

"For Canada, this agreement provides a stable source of investment for the many projects that Nexen operates, which includes the exploitation of bitumen in Alberta," CNOOC Chief Executive Li Fanrong said in a conference call.

"Because we intend to be a local company as much as a global one, we also intend to seek a listing for CNOOC Ltd on the Toronto Stock Exchange."

CNOOC has only nine years worth of reserves based on its current production -- one of the lowest ratios among major oil companies worldwide -- and said the deal would increase its proven reserves by 30 percent.

"CNOOC has been seeking overseas acquisitions, as the domestic reserves are limited. But there has been many limits, things like foreign companies (being) reluctant to sell, price too high. This deal would be quite a success," said Yan Shi, an oil analyst at brokerage UOB Kay Hian in Shanghai.

The move was quickly followed by another Chinese move on Canadian-owned oil assets, as Sinopec Corp said it would buy 49 percent of Talisman Energy's British unit for $1.5 billion.

CNOOC already has partnerships with Nexen, the onetime unit of Occidental Petroleum Corp which operates in many of the world's most significant producing regions.

Nexen, which recently underwent a management shake-up, has been seen for years by investment bankers as a potential target.

Analysts had been referring to the company as a turnaround story since Kevin Reinhart took over as interim CEO early this year. He was showing success in improving the reliability of such projects as the huge Buzzard oil field in the North Sea after years of missed production targets.

"It's a good deal for shareholders because I think the stock had historically been trading at a very big discount to its net asset value because of management's less than stellar execution on the operations," said Norman MacDonald, vice president and portfolio manager at Invesco Trimark.

Shares of Nexen, whose board unanimously approved the deal, surged C$9.23, or 53 percent, to C$26.52 in Toronto on Monday.

CNOOC made its first tentative Canadian investment in 2005, paying C$122 million ($120.8 million) for a 16.7 percent share of the then-private oil sand developer MEG Energy Corp.

It completed a C$2.1 billion acquisition of Opti Canada Ltd in November, giving the Chinese company its second stake in a Canadian oil sands company and giving it a share in Nexen's Long Lake oil sands development.

FOREIGN INVESTMENTS

The deals in Canada have not yet stirred the level of political opposition that killed CNOOC's $18.5 billion Unocal bid.

But Canada can review and block any foreign investments worth more than C$330 million if it thinks a deal is not in Canada's best interests. It most noticeably exercised that right in 2010 when it blocked Anglo-Australian miner BHP Billiton's $39 billion hostile takeover of Potash Corp, the world's top fertilizer producer.

Canada's industry minister confirmed on Monday that he would conduct a review, as required by law, focusing on such aspects as the effect of the deal on economic activity in Canada, the degree of participation by Canadians in the business and the impact on competition in the country.

That said, analysts pointed out that the lion's share of Nexen's assets are outside Canada, which may help CNOOC pass muster with Investment Canada.

Twenty-eight percent of Nexen's production and 11 percent of its cash flow are derived from Canadian operations, CIBC World Markets analyst Andrew Potter said.

Analyst Shi said he price for the deal seemed reasonable for CNOOC.

"Assets in Canada are generally about more than 20 U.S. dollars per barrel. The cost in the deal is less than 20 dollars per barrel," Shi said.

Chinese companies have been among the most aggressive in targeting assets around the globe to help feed demand in the world's second-biggest economy.

According to Thomson Reuters data, the takeover would be bigger than any foreign deal completed to date by a Chinese company.

Buying Nexen also would make CNOOC the operator of Buzzard, the largest oil field in the UK and the biggest contributor to Forties Blend crude.

Forties is the largest of the four North Sea crude oils that form the Brent oil benchmark, and the crude that usually sets the value of dated Brent, the benchmark for pricing more than half of the world's oil.

BMO Capital Markets and Citigroup Global Markets Inc advised CNOOC, while Nexen was advised by Goldman Sachs and RBC Capital Markets.

CNOOC said Nexen's debts of about $4.3 billion would remain outstanding and it hoped to complete the deal by the fourth quarter of 2012.

It also said it would seek a listing for CNOOC shares on the Toronto Stock Exchange and would make Calgary its North American headquarters.

A look at the lives of the shooting victims

AURORA, Colo. (AP) ? A U.S. Navy veteran who served three tours of duty in the Middle East. A 6-year-old girl excited about her swimming classes. A Target employee who shielded his girlfriend and her brother with his own body. They and nine others were killed in the shooting rampage during a midnight showing of "The Dark Knight Rises" in a Denver suburb. Here are their stories:

Jonathan Blunk had high hopes for the future, with plans to re-enlist in the Navy and the goal of becoming a Navy SEAL.

The 26-year-old served three tours in the Persian Gulf and North Arabian Sea between 2004 and 2009, said close friend James Gill of Brighton, Colo.

"It was guts or glory for him," Gill told The Associated Press. "It always surprised me that he didn't serve in a situation more on the front line. He wanted to be a first responder on the front line."

Blunk was also a certified firefighter and emergency medical technician, Gill added.

He died in the shooting Friday after throwing himself in front of friend Jansen Young and saving her life, she told the Today Show. He told her to stay down.

"That's something he would do," Gill said. "If he was going to choose a way to die, that's how he wanted to go ? defending someone from a (person) like that."

Blunk, a 2004 graduate of Reno's Hug High School in Nevada, most recently worked at a hardware store.

His estranged wife, Chantel Blunk, lives with their 4-year-old daughter and 2-year-old son in Sparks, Nev.

Alexander J. Boik, known as AJ, recently graduated from high school and was to start classes at the Rocky Mountain College of Art and Design in the fall, The Denver Post reported.

The family said in a statement that the 18-year-old was loved by all who knew him and was dating "a beautiful young lady" who was with him at the theater and survived. "We want to try and focus on the beautiful lives that were ended and not the evil that is responsible," the family said.

A friend, Jordan Crofter, described Boik as someone who "didn't hold anything back. He was just his own person."

"He was a ball of joy. He was never sad or depressed. He wanted everybody to be happy," Crofter told The Associated Press.

Crofter said Boik played baseball from when he was a child through his junior year in high school.

He said Boik and his girlfriend were the "perfect couple" and people expected them to get married.

"If he were still here, he'd try to make everyone have a positive outlook of the situation and not allow it to affect their outlook of life," Crofter said.

Jesse Childress was an Air Force cyber-systems operator based at Buckley Air Force Base, Colo.

Air Force Capt. Andrew Williams described the 29-year-old from Thornton, Colo., as knowledgeable, experienced and respectful. "We're going to miss him incredibly," he said.

Tech Sgt. Alejandro Sanchez, a co-worker, told the AP that Childress was his good friend and they were on a bowling team together.

"He would help anyone and always was great for our Air Force unit," he said.

Another co-worker, Ashley Wassinger, said Childress "was a great person fun to be with, always positive and laughing."

"Really just an amazing person, and I am so lucky to have been his friend," she said.

Gordon Cowden loved life and his family, and he had gone to the midnight movie premiere with his two teenage children.

At 51, he was the oldest of the victims killed in the shooting. He lived in Aurora, but was described as a "true Texas gentleman" in a family statement. He loved the outdoors and owned his own business.

"A quick witted world traveler with a keen sense of humor, he will be remembered for his devotion to his children and for always trying his best to do the right thing, no matter the obstacle," his family said.

His teenage children escaped the shooting unharmed.

His family declined to be interviewed in their request for privacy, but expressed appreciation for words of concern offered in the wake of the shooting.

"Our hearts go out to everyone that has been harmed by this senseless tragedy," they said.

Jessica Ghawi recently wrote a blog post after surviving a shooting at a Toronto mall, saying it showed her "how fragile life was."

Friends say the 24-year-old, who moved to Colorado from Texas about a year ago, didn't let the June 2 shooting in Toronto change her outlook on life as she pursued a career in sports journalism.

"I think she even looked at that like, 'Hey, even after that, I'm able to pursue my dream," said Peter Burns, a radio sports show host with Mile High Sports Radio in Denver, where Ghawi recently interned.

That shooting left two dead and several injured. Her blog post last month said: "I saw the victims of a senseless crime. I saw lives change.

"I was reminded that we don't know when or where our time on Earth will end. When or where we will breathe our last breath."

Former colleagues described her as ambitious and hardworking. She went by the name "Redfield," a play on her red hair, because it was easy to say and remember, both professionally and on her social media accounts.

She was a regular tweeter and her last post to the micro-blogging website stated in all capital letters, "movie doesn't start for 20 minutes."

John Larimer was a Navy sailor based at Buckley Air Force Base, where he was a cryptologic technician ? a job that the Navy says on its website should be filled by someone with "exceptionally good character, above-average writing and speaking skills, a good memory, curiosity and resourcefulness."

Those who knew him described him in similar terms.

The 27-year-old and another active service member, Air Force Sgt. Jesse Childress, were killed in the shooting rampage, the military said Saturday.

Larimer, who grew up in the Chicago suburb of Crystal Lake, joined the service just over a year ago, the Navy said.

"A valued member of our Navy team, he will be missed by all who knew him. My heart goes out to John's family, friends and loved ones, as well as to all the victims of this horrible tragedy," said Cmdr. Jeffrey Jakuboski, his commanding officer, in a written statement.

A family member told the Daily Herald newspaper in Arlington Heights, Ill., that Larimer was the youngest of five siblings. Neighbors in his hometown recalled his sense of humor.

"We love you, John, and we will miss you always," his parents said in a statement.

As the attack in the movie theater unfolded, Matt McQuinn dove in front of his girlfriend and her older brother to shield them from the gunfire.

He died protecting them, said Rob Scott, an Ohio attorney retained by the families of McQuinn and his girlfriend, Samantha Yowler. Scott confirmed McQuinn's death to The Associated Press on Saturday. He was 27.

"Unfortunately, Matt McQuinn perished from the injuries he sustained during the tragic events that unfolded in Denver, Colorado, and went home to be with his maker," Scott said in a statement. "As both families mourn the loss of Matt, they ask for everyone to give them distance and time. Again, the families thank everyone for their love, prayers and ask that we respect their families' wishes."

Yowler was recovering from surgery after she was shot in the knee at the theater. Her 32-year-old brother, Nick Yowler, who also shielded his sister, was not injured.

McQuinn and Yowler moved to Colorado from Ohio last fall. A Colorado co-worker told the Springfield News-Sun that McQuinn and Samantha Yowler worked with her at Target.

"They're really fun people. We always go out together," said Melissa Downen.

The death of 23-year-old Micayla Medek was heartbreaking, said her father's cousin, Anita Busch.

But Busch said the news also was a relief for the family after an agonizing day of waiting.

"I hope this evil act ... doesn't shake people's faith in God," she said.

Micayla Medek lived in the Denver suburb of Westminster and attended Aurora Community College.

Her aunt, Jenny Zakovich, 57, of South Milwaukee, Wis., said Medek and her father were both huge Green Bay Packers fans.

The youngest of the victims killed in the attack was Veronica Moser-Sullivan.

She had just learned to swim, and at age 6, she was a "great little girl, excited about life," her great-aunt Annie Dalton said. "She should be at 6 years old."

Her mother, Ashley Moser, remains hospitalized in critical condition with gunshot wounds to her neck and abdomen. She has been in and out of consciousness and asking for her daughter during moments of lucidity.

"Nobody can tell her about it," Dalton said. "She is in critical condition, but all she's asking about is her daughter."

Alex Sullivan's family called him "their real life super hero," and he was at "The Dark Knight Rises" premiere celebrating his 27th birthday and his first wedding anniversary.

"Alex was a gentle giant, known and loved by so many. He always had a glowing smile on his face and he made friends with everyone. Alex enjoyed all sorts of movies, was an avid comic book geek and loved the New York Mets," the family said in a statement.

Sullivan had a warm smile and an innocence that endeared him to people, said Shelly Fradkin, whose son Brian was good friends with Sullivan.

She sat next to a makeshift memorial Friday near the theater where an oversized birthday card with a photo of a smiling Sullivan was displayed.

"He's amazing. He was just a big teddy bear. Great hugs," she said.

She said Sullivan was such a big movie fan that he took jobs at theaters just to see movies.

Fradkin and her son spent an "excruciating" day trying to find Sullivan before learning of his death, she said.

"We're shocked. We're numb. We're sick," she said. "Our hearts are broken, and we're crushed."

Alexander C. Teves, 24, of Phoenix, earned a master's degree in counseling psychology in June from University of Denver.

He was a lovable person who made friends quickly and had a lot of them, said his grandfather, Carlo Iacovelli of Barnegat, N.J.

As a boy, Teves moved from New Jersey to Phoenix with his parents. Iacovelli and his wife wintered there and spent a lot of time with him.

"He was what you might call an ideal grandson," Iacovelli said. "He was a fun guy. He loved to eat."

Teves was planning to become a psychiatrist, his grandfather said.

"He had a lot to look forward to," Iacovelli said.

Rebecca Ann Wingo had started a job several months ago as a customer relations representative at a mobile medical imaging company. She was 32.

Shannon Dominguez, who worked with Wingo on weekends, said she was friendly with everyone and always seemed to be in a good mood.

"I didn't really know her well but she had a really bubbly personality," Dominguez said. "She was a pretty happy person. She just never really seemed ... like with work, she never got irritated. She was pretty happy to be here."

UN approves last 30 days for UN observers in Syria

UNITED NATIONS (AP) ? The U.N. Security Council unanimously approved a resolution Friday renewing the 300-strong U.N. observer force in Syria for 30 days, and allowed for a possible extension if the Syrian government stops using heavy weapons and violence is reduced.

The resolution is a lifeline for the unarmed observers who were sent to Syria three months ago to monitor a cease-fire that never happened, and to watch over the implementation of international envoy Kofi Annan's six-point peace plan, flouted by President Bashar Assad's government.

The council voted shortly after Russia's ambassador to France, Alexander Orlov, said he believed Assad was ready to step down "in a civilized way." The Syrian government immediately denied it, and the Russian Foreign Ministry said the ambassador's statements were taken out of context and "wrongly interpreted."

The mandate of the observer force had been set to expire Friday. The observers had suspended patrols in the face of escalating violence.

The force's future was in doubt following Russian and Chinese vetoes of a Western-backed U.N. resolution Thursday aimed at pressuring Assad's government to end the escalating civil war by threatening sanctions.

Russia's U.N. Ambassador Vitaly Churkin had said he would veto the original British-drafted resolution on the observer mission and support a rival Pakistani text that would have extended the mission for 45 days, with the possibility of further renewals. But after closed-door consultations called by Pakistan, all 15 council members reached agreement on a revised British text.

The seemingly contradictory reports over Assad's intentions fueled the debate over his future, which already had intensified following this week's daring attack in Damascus that killed four people close to him. The victims included his powerful brother-in-law and deputy defense minister, and his defense minister.

Orlov, the Russian ambassador in Paris, said in an interview with Radio France Internationale that Assad's acceptance of an international agreement in June for a transition toward a more democratic regime, and his subsequent naming a representative to negotiate the transition, meant that he was prepared to give up leadership.

"Personally ... I think it will be difficult for him to stay in office, given everything that's happened," Orlov told RFI.

He later backtracked in an interview with BFM TV, saying in response to a question that he did not think Assad's days were numbered.

"I say it's for Syrian people to determine that ... Is the regime coming to an end or not? It's not for me to say," Orlov said.

The ambassador blamed the confusion on the fact that he was misunderstood.

"If President Assad accepted this (agreement) that foresees a transition, it means that perhaps within himself he is ready to leave if that was the result of the negotiations. It's because of this that I called it a civilized departure," he told BFM.

Orlov noted in the original RFI interview that Assad accepted the final statement of the June 30 Geneva agreement for a transition "toward a more democratic regime" and then went the next step, naming a representative to negotiate the transition with the opposition. In essence, that meant that "he accepted to leave, but leave in a civilized way," the ambassador said.

Syrian TV quickly said the interview had been taken out of context.

Russian Embassy spokesman Sergei Parinov said the ambassador's statement was "incorrectly interpreted" by international media. Parinov told The Associated Press the ambassador just "restated" Russia's interpretation of Assad's response to the Geneva agreement.

Parinov said the ambassador's statement was not referring to any new information coming from the Assad regime on Friday.

The remarks by the ambassador added a new layer of interpretation to the Geneva agreement, which was based on a U.N.-brokered peace plan that Syria's president was party to. In fact, Russian Foreign Minister Sergey Lavrov underlined at the time that the plan does not require Assad's ouster, saying there is "no attempt in the document to impose on the Syrian people any type of transitional process."

Dave Colavito: Fracking Insurance: Winners and Losers

Reaction to the AP story was predictable.

The leaked internal memo, indicating that Nationwide Mutual Insurance Co. had determined risks from the controversial process of hydraulic fracturing were too great to provide coverage for, was interpreted by some as vindication of their concerns and by others as ill-informed betrayal.

But the ensuing brouhaha overshadowed the asymmetric nature of the energy development insurance market -- where lessors and lessees have damage coverage options unavailable to others.

When I recently spoke with Dr. Robert Hartwig, President of the Insurance Information Institute, about why that is, he explained that insurers have no way to control and underwrite actions of a third party. In other words, if you're someone concerned about potential impacts from energy development occurring around you, but aren't in a development contract with an energy company, your only option to receive compensation for something like contamination of your drinking water, is to hire an attorney to pursue your claim through the vagaries (and expense) of the court system -- a poor substitute for the assurance of damage recovery through the force of contract with an insurance provider. Landowners who lease have the opportunity to hitch their horse to a company's insurance wagon.

Hartwig also points out there's nothing new in principle here, because many risks aren't mitigated through typical homeowner policies and therefore require similar legal action on the part of those affected by them. So in that sense, the avenue for pursuing compensation for certain kinds of fracking-related damage is no different.

True enough.

But principle and practice appear at odds here. After all, overcoming the reluctance to cover third party actions seems to occur all around us. For example, if your motor vehicle policy includes collision coverage, you don't need a court action to receive compensation for your parked car destroyed by a drunk driver -- you have a contract with your insurance company and unless there's a valid reason to the contrary, it's honored.

Furthermore, should past become prologue merely by virtue of being the past? It's a valid question generally, but particularly so for states like New York that are trying to conceive a new regulatory framework -- intended to function on a regional scale -- for an industrial activity never before permitted there -- high volume horizontal hydraulic fracturing of the Marcellus Shale.

But the disparate reality between insurance options for those party to energy leases and those who aren't carries important implications well beyond the limitations confronting non-leasing landowners trying to recover damages they might incur.

When I asked Jack Driscoll of Driscoll Insurance and Financial Services about those disparities, he not only confirmed them, but went on to explain the principle, and additional peril, of wide-net litigation, an equal opportunity damage recovery exploiter that doesn't discriminate between non-leasing landowners and those who do.

It goes something like this:

You're a non-leasing property owner proximate to gas development occurring elsewhere in the Marcellus Shale. Let's say a stream courses through your property and that of others being leased; say further that fracking-related activities have contaminated that stream.

The legal action taken by those adversely affected from that contamination is then met by the legal equivalent of, "how do you know it's me and not the other guy?" -- prompting the net of legal action to be cast widely as possible and thereby also entangling you. Those in contract with a gas company, and adequately linked to their respective company's insurance, are in a far better position than you. It's a net the extrication from which Driscoll suggests could cost you, the non-leasing property owner, hundreds of thousands of dollars in legal expenses.

The concern is further compounded by the fact that related problems can take years, sometimes decades, to discern and, well, you get the picture.

Insurance for non-leasing property owners may be available through what's referred to as specialty policies, but that doesn't mean it's affordable (that principle/practice thing again) -- a concern reduced to part of the cost of doing business for gas companies. When I contacted Public Relations at Independent Oil and Gas Association of New York for an energy industry perspective, I explained my subject area of interest -- and that I was preparing a related piece for the media. My contact information was politely requested, and I was told my query would be referred to their expert, that he'd be getting in touch with me. When I asked how much time that might take, the answer proved to be unanswerable, at least in terms of time. I appreciate IOGA NY's shared concern for the non-leasing landowner, and remain confident that eventually I'll receive comment from their expert.

I also inquired with local agents for Allstate and State Farm, two of several companies I've inquired with in the past on such matters. Their answers haven't changed -- and fell squarely in line with both Hartwig and Driscoll.

Again, Jack Driscoll:

The additional hazards associated with gas well exploration and the use of hydro-fracking techniques used in gas well[s], production and the resultant increase in infrastructure such as well pads, pipelines and roads to service the wells have increased the potential for the frequency and size of liability losses to property owners within the region.


Landowners in the area have experienced land ownership and purchasing issues regarding land that is currently within, adjacent to or simply near a well or proposed well site. Lenders require the borrower to obtain and maintain insurance to protect the lenders' interest in the event of a loss on the property. If insurance cannot be obtained lenders may claim the loan is in default or refuse new loan applications.

Insurance companies are in the business of making money by mitigating financial risks for their policy holders. In order to remain in business, collective policy premiums need to exceed the collective expense of liabilities over time. That's neither good nor bad; it just is. But such a characteristic renders it incompatible with protecting people and the environment when there isn't money to be made. It's a deficiency we rely on government at all levels to address.

But the deficiency isn't getting addressed, and indications from the experts I've talked with suggest it won't be any time soon, if ever.

Here in New York, neither Governor Andrew Cuomo nor the state's Commissioner of the Department of Environmental Conservation, Joseph Martens, has offered any guidance on this crucial concern. And it isn't because they're unaware of it.

Records from testimony presented to New York's DEC last fall document similar insurance related concerns for those not leasing.

As principles so often go, Mr. Cuomo's too are clear, and admirably reflected in his creed: Performance, Integrity, Pride, but if as Governor of the great state of New York he intends to truly embody the words of his creed, he needs to align those principles with practice.

Tom Cruise, Suri Involved In High-Speed Car Chase In New York City

Tom Cruise was allegedly involved in a high-speed car chase Wednesday afternoon -- with daughter Suri in the car.

According to the New York Daily News, the actor and his 6-year-old daughter were being chased by paparazzi as they sped up the west side of Manhattan. The supposed chase last 20 minutes and included the actor's black Chevy Suburban, operated by a driver, breaking speeds of 55 to 65 mph on the West Side Highway, where the speed limit is 25 mph. The SUV was allegedly being trailed by at least 10 cars and motorcycles and bicyclists were reportedly involved in the chase as well.

Cruise and his daughter left their Tribeca hotel, where the chase began, and ended at the heliport where he and Suri were photographed boarding a helicopter.

This frightening ride comes only two days after Suri and her mother, Katie Holmes, were involved in a fender bender with their limousine and a New York City garbage truck.

No word yet on whether police will get involved in the incident. Check back for more details as the story develops.

U.N. Secretary-General Ban Ki-moon has been visiting Beijing to convey to President Hu Jintao an urgent need for international action.

The Chinese foreign ministry statement issued Thursday evening said?China?opposes all forms of terrorism and violence and that it "strongly" condemned the bombing Wednesday in Damascus that killed?Syria'sdefense minister and his deputy.

"China?is deeply worried about the rising tensions in?Syria," the statement said. "China?once again called on all related parties in?Syria?to cease fire immediately."

The brief statement did not mention the Security Council vote but shows?China?has not changed its stance even as?Syria's?violence has escalated and Western nations have urged tougher action against President Bashar Assad's government.

The new?Syria?resolution threatens non-military sanctions against Assad's regime if he doesn't withdraw troops and heavy weapons from populated areas within 10 days. The text is tied to Chapter 7 of the U.N. Charter, which could eventually allow the use of force to end the conflict.

Russia, a close Syrian ally, has said it will veto any Chapter 7 resolution.

Unlike Russia,?China?does not have longstanding strategic ties to Assad's government, but Beijing opposes setting precedents that could potentially be applied to its troubled western regions of Tibet and Xinjiang.?Chinafeels burned by Western intervention in Libya, believing that the U.S. and European powers over-interpreted a U.N. resolution to attack the government of Moammar Gadhafi, not just protect Libyan civilians.

The state-run Global Times newspaper's Chinese edition said in an editorial Thursday that Beijing should continue to align itself with Russia in voting in the U.N. Security Council.

The paper said that no matter how the situation unfolds in?Syria, Beijing should maintain its position of opposing external military intervention.

"The West only wants a result that benefits their interest, and does not care if the process is peaceful," the newspaper said. "Yesterday's bloodshed in Damascus has made the West very excited. We just want to say one thing here: no matter how the Syrian situation develops later, let the process be less painful for the Syrian people."
